§ 1 General Provisions
(1) These General Terms and Conditions apply to contracts, deliveries and other services provided by SCHROPP FAHRZEUGTECHNIK e.K., In Schlattwiesen 18, 72116 Mössingen, Germany (hereinafter referred to as the “Seller”), concluded or provided through the online shops listed above and their associated subdomains. Any deviating terms and conditions of the customer shall apply only if the Seller has expressly agreed to their application. Individual agreements between the Seller and the customer shall take precedence.
(2) The business relationship between the Seller and the customer shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). In the case of consumers, this choice of law shall apply only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.
(3) The contractual language is German. Where translations of these General Terms and Conditions are provided, the German version serves as the basis.
(4) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction shall be Tübingen, Germany. In all other cases, the statutory provisions governing jurisdiction shall apply.
(5) The EU Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025. The Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
§ 2 Subject Matter and Conclusion of the Contract
(1) In its online shops, the Seller offers in particular automotive accessories, tuning products, vehicle parts, software and other vehicle-related products for purchase. In addition, individually manufactured goods and individually created digital content may be offered.
(2) The presentation of products in the online shops generally does not constitute a legally binding offer, but an invitation to the customer to place an order. By submitting an order, the customer makes a binding offer to conclude a contract for the products contained in the shopping cart.
(3) The contract is concluded when the Seller accepts the customer's order. Acceptance may take place in particular by means of an express order confirmation, dispatch of the goods, provision of digital content or another clear declaration of acceptance. An automatically generated confirmation of receipt of the order shall constitute acceptance only if its content clearly indicates this.
(4) In response to individual enquiries made by email, telephone or another means of communication, the Seller may submit an individual offer to the customer. In such cases, the contract is concluded when the customer accepts that offer.
(5) The contract text and order data are stored in accordance with applicable legal and technical requirements. The customer receives the essential contractual and order information on a durable medium, in particular by email. Where a customer account exists, additional order information may also be available within the customer account.
(6) Product images are for illustrative purposes. Minor deviations, in particular as a result of model updates, manufacturer changes or different vehicle equipment, are permissible provided that they do not impair the agreed characteristics or the contractual use of the product.
§ 3 Individually Manufactured Goods
(1) The Seller may offer goods that are not prefabricated and for the manufacture of which an individual choice or decision by the customer is decisive, or which are clearly tailored to the customer's personal requirements.
(2) For such individually manufactured goods, the statutory right of withdrawal may be excluded in accordance with section 312g (2) no. 1 of the German Civil Code (BGB).
(3) This may apply in particular to exhaust systems, rear silencers or comparable vehicle parts manufactured individually according to customer specifications.
(4) Whether a particular product constitutes such an individually manufactured item depends on the actual nature of the product and the circumstances of the respective order. The customer's statutory rights in the event of defects remain unaffected.
§ 4 Digital Content and Individual Tuning Files
(1) The Seller may offer digital content. This may include, in particular, software files, data files and engine control software or tuning files created individually for a specific vehicle.
(2) Consumer contracts for digital content are subject to the statutory provisions governing digital products insofar as these provisions apply to the respective contract. This also applies to digital products developed according to the customer's specifications.
(3) Unless a specific time for provision has been agreed, digital content shall be provided in accordance with the statutory provisions. An individual processing or delivery period may be agreed with the customer for digital content that is created individually.
(4) In the case of paid digital content that is not supplied on a tangible medium, the right of withdrawal may expire before the end of the withdrawal period if the statutory requirements are met. In particular, this requires the consumer to expressly consent to performance beginning before the end of the withdrawal period, to confirm their knowledge that the right of withdrawal will thereby expire when performance begins, and to receive the contract confirmation required by law.
(5) The customer's statutory rights in the event of defects in digital products remain unaffected.
§ 5 Prices, Shipping Costs and Payment
(1) The prices displayed in the respective online shop at the time of the order shall apply. For consumers, the prices displayed include statutory VAT where applicable.
(2) Any additional shipping or delivery costs are displayed to the customer before the order is submitted. Their amount may depend in particular on the country of delivery, shipping method, weight, dimensions and characteristics of the products ordered.
(3) The payment methods displayed in the respective online shop during the checkout process are available to the customer.
(4) Where advance payment by bank transfer has been agreed, the invoice amount is due for payment within ten calendar days after conclusion of the contract unless another payment period has been agreed or specified.
(5) In the event of late payment, the statutory provisions shall apply.
(6) The customer will receive an invoice either in paper form or electronically.
§ 6 Delivery and Transfer of Risk
(1) Goods will be delivered to the delivery address specified by the customer during the ordering process unless otherwise agreed.
(2) The delivery time stated for the respective product shall apply. Where an individual delivery time is agreed for an individually manufactured product, that agreement shall apply.
(3) Partial deliveries are permissible insofar as they are reasonable for the customer. The customer shall not incur additional shipping costs as a result unless expressly agreed otherwise.
(4) If, through no fault of its own and despite having concluded a corresponding procurement transaction with a supplier in good time, the Seller is unable to obtain the goods ordered, the Seller may withdraw from the contract insofar as the statutory requirements are met. The customer will be informed without undue delay. Payments already made for goods that cannot be delivered will be refunded without undue delay.
(5) In the case of consumers, the risk of accidental loss or accidental deterioration generally passes upon delivery of the goods to the consumer or to a person authorised by the consumer to receive them. In the case of business customers, where goods are shipped, the risk passes upon delivery of the goods to the forwarding agent, carrier or other person designated to carry out the shipment.
§ 7 Retention of Title
(1) Goods delivered remain the property of the Seller until the respective purchase price has been paid in full.
(2) In relation to business customers, the Seller retains title to delivered goods until all claims arising from the ongoing business relationship have been settled in full.
§ 8 Right of Retention
The customer may exercise a right of retention insofar as the counterclaim arises from the same contractual relationship. In all other respects, the statutory provisions shall apply.
§ 9 Rights in the Event of Defects
(1) The statutory rights in the event of defects shall generally apply.
(2) In the case of new goods sold to consumers, the statutory limitation periods for claims arising from defects shall apply.
(3) In the case of used goods, the statutory limitation period may be shortened in relation to consumers only if the applicable statutory requirements are met, in particular if the consumer has been specifically informed of the shortened limitation period before submitting their contractual declaration and the shortening has been expressly and separately agreed.
(4) In relation to business customers, the limitation period for claims arising from defects in new goods shall generally be one year from delivery. Liability for defects in used goods may be excluded in relation to business customers. This shall not affect claims arising from intentional or grossly negligent conduct, injury to life, body or health, fraudulently concealed defects, guarantees assumed by the Seller, claims under the German Product Liability Act or other claims that may not legally be restricted.
(5) For merchants, the duties of inspection and notification of defects under sections 377 et seq. of the German Commercial Code (HGB) shall additionally apply.
(6) Damage or functional impairment caused exclusively by improper installation, improper use, use contrary to the intended purpose, modifications by the customer or third parties, unsuitable vehicle components or failure to comply with installation, operating or maintenance instructions, and which is not attributable to a defect for which the Seller is responsible, shall not give rise to liability for defects on the part of the Seller. The customer's statutory rights in respect of a defect for which the Seller is responsible remain unaffected.
(7) The statutory rights relating specifically to defects in digital products shall additionally apply to digital products.
§ 10 Special Information on Tuning Products and Vehicle Modifications
(1) Changes to engine performance, maximum speed, emissions, noise, suspension, braking systems or other vehicle characteristics relevant to road approval may require an inspection, approval, registration or other official or technical authorisation.
(2) Where a product does not have an applicable approval, general operating permit, parts approval or other evidence sufficient for its specific use, the customer must not assume that the product may be used on public roads without further measures.
(3) Product-specific information regarding certificates, approvals, test reports or registration possibilities is provided in the respective product description and in any documents supplied with the product.
(4) The customer is responsible for observing the legal requirements applicable to their vehicle and intended use and for obtaining any required inspections, approvals or registrations.
(5) Performance increases and other vehicle modifications may result in increased stress on the engine, transmission, drivetrain and other vehicle components. Such increased stress does not in itself constitute a defect in the product supplied or service provided. The customer's statutory claims arising from a defect for which the Seller is actually responsible remain unaffected.
§ 11 Transport Damage
If goods are delivered with obvious transport damage, the customer is requested to report such damage to the carrier as soon as possible and to inform the Seller. Failure by a consumer to make such a report or notification shall have no effect on the consumer's statutory rights in the event of defects.
§ 12 Liability
(1) The Seller shall have unlimited liability for damage caused intentionally or through gross negligence and for damage resulting from injury to life, body or health.
(2) In the event of a slightly negligent breach of an essential contractual obligation, the fulfilment of which is necessary for the proper performance of the contract and on compliance with which the customer may regularly rely, the Seller's liability shall be limited to the foreseeable damage typical of the contract.
(3) In all other respects, liability for damage caused by slight negligence is excluded to the extent permitted by law.
(4) The above limitations of liability shall not apply in cases of fraudulently concealed defects, guarantees assumed by the Seller, claims under the German Product Liability Act or where liability is otherwise mandatory by law.
(5) To the extent that the Seller's liability is excluded or limited, this shall apply correspondingly to its legal representatives, employees and vicarious agents.
§ 13 Right of Withdrawal for Consumers
Consumers generally have a statutory right of withdrawal in distance contracts unless a statutory exception applies or the right of withdrawal has expired in accordance with the applicable statutory provisions. Details are provided in the separate Right of Withdrawal information available in the respective online shop.
§ 14 Final Provisions
(1) If individual provisions of these General Terms and Conditions are or become invalid, the statutory consequences shall apply and the validity of the remaining provisions shall remain unaffected.
(2) The statutory provisions shall otherwise apply.
